Welcome to PropertyBlitz. These Terms of Use (“Terms”) govern your access to and use of our website, client portal, booking forms, and turnover contracting services (collectively, the “Services”).

By accessing our website or registering for a portal account, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Account Registration & User Roles

A. Account Authorization

You must be at least 18 years old to create an account or request services. You agree to provide accurate, current, and complete information during registration and keep your profile details updated.

B. Multi-Tenant Roles & Realtor Proxy Accounts

• Realtors / Managing Agents: Realtors registering or dispatching dispatches on behalf of Landlords warrant that they possess full authority from the property owner to request services, grant property access, and authorize change orders.

• Proxy / Unclaimed Accounts: When a Realtor adds a property on behalf of a Landlord, an unclaimed profile may be created for the Landlord. The Landlord may claim full control of their account at any time.

• Tenants: Tenant access is restricted to property handbooks, submitted maintenance requests, lease records, and rent receipts granted by the Landlord or managing agent.

2. Services, Scheduling & 72-Hour SLA

A. Scope of Services

PropertyBlitz provides cosmetic turnover prep, deep cleaning, drywall patching, neutral painting, lock re-keying, hardware updates, and MLS listing media (HDR photos, 3D Matterport scans). Licensed specialty trade work (Electrical ESA, Plumbing, Gas TSSA) is coordinated via certified third-party subcontractors.

B. 72-Hour Service Level Agreement (SLA) Commencement

Our guaranteed 72-hour turnaround target commences strictly upon:

1. Confirmed physical key/fob or lockbox/concierge retrieval; and

2. Active, confirmed booking of service elevator/loading dock access (where applicable in multi-family or condo buildings).

C. SLA Pauses & Excusable Delays

The 72-hour operational clock shall pause without penalty to PropertyBlitz for:

• Discovered hazards requiring immediate stop-work (e.g., active leaks, mold $>10\text{ sq ft}$, asbestos, or pest infestations).

• Delays in receiving written approval for necessary out-of-scope Change Orders.

• Utility shut-offs (lack of running water or electricity) or inaccessible suite/common areas.

3. Pricing, Deposits & Payments

• Estimates & Rates: All pricing is calculated based on property type, square footage, and selected service package tiers.

• Deposits & Invoicing: A 50% deposit is required prior to job dispatch. The remaining 50% balance is due immediately upon completion and digital delivery of the Blitz Cert™ inspection ledger.

• Change Orders: Hidden defects or out-of-scope work discovered on-site will be submitted digitally for client approval. No out-of-scope charge will be incurred without confirmed client authorization.

• Late Payments: Overdue payments accrue interest at a rate of 2.0% per month (24% per annum).

4. AI-Powered Features & Estimates

Our portal may generate automated, AI-assisted maintenance assessments and preliminary cost estimates based on tenant-uploaded text descriptions and photos. These estimates are provided for informational and preliminary dispatch guidance only. Final scope and pricing remain subject to physical, on-site inspection by PropertyBlitz technicians.

5. User Conduct & Acceptable Use

When using our website and portal, you agree not to:

• Provide false, misleading, or fraudulent property, identity, or ownership information.

• Upload photos, documents, or content that infringe on third-party intellectual property or privacy rights.

• Attempt to bypass portal authentication, access unauthorized property records, or tamper with digital Blitz Cert™ hashes.

• Reverse-engineer, scrape, or disrupt the operation of our website, portal, or API endpoints.

6. Intellectual Property

• Brand & Content: All website branding, logos, trademarks, text, software code, and portal interfaces are the property of PropertyBlitz.

• Listing Media License: Upon full payment for Listing Media services, PropertyBlitz grants the client a perpetual, non-exclusive, royalty-free license to use, display, and publish the delivered photos, video reels, and 3D Matterport tours for property marketing and MLS/TRREB listing purposes.

7. Warranty & Limitation of Liability

• Workmanship Warranty: PropertyBlitz provides a 14-day warranty on cosmetic in-house workmanship (e.g., paint touch-ups, hardware adjustments, caulking).

• Pre-Existing & Hidden Conditions: PropertyBlitz is not liable for pre-existing structural defects, concealed wiring/plumbing degradation, or building-wide system failures.

• Limitation of Liability: To the maximum extent permitted by Ontario law, PropertyBlitz’s total aggregate liability for any claim arising out of or related to the Services shall not exceed the total dollar amount paid by the client for the specific job giving rise to the claim.

8. Termination

We reserve the right to suspend or terminate your account or access to the portal at our discretion, without notice, if you violate these Terms, fail to pay invoices, or engage in abusive or fraudulent conduct.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Toronto, Ontario.
